PROPOSED CHANGES TO YAA CONSTITUTION & BY-LAWS





The following important proposed changes to the YAA Constitution and By-Laws, as approved and recommended by the Board:

ARTICLE II is being revised
~To expand the purpose to cover all the arts, including fine craft arts, performing and literary arts, and to add that the YAA will present performances and readings, along with classes, exhibits and other activities listed in the original paragraph;

To add a Mission Statement:
~The York Art Association values, promotes and supports the visual, performing and literary arts by providing programs and events for the benefit of its members and the community.

ARTICLE III is being revised
~To create only one category of Board Members, eliminating the Advisory Member category;
~To make officer categories consistent with other non-profit organizations: President, Vice President, Treasurer and Secretary (Corresponding Secretary and Recording Secretary consolidated), as the Executive Committee;
~To allow for up to 18 Board Members;
~To allow for the creation of various Committees as the needs of the YAA dictate;
~To require Board meetings at least once per quarter, and to allow a quorum with a simple majority of Board Members, including at least one officer;
~To increase the term for elected Officers and Board Members elected at the Annual Meeting from one to two years;
~To allow for periodic (rather than just annual) review of the Standing Rules;

ARTICLE IV is being revised
~To consolidate Recording Secretary and Corresponding Secretary into Secretary;
~To provide that the Executive Committee will appoint the Director of Education;

ARTICLE V is being revised
~To state that Membership is open to all artists and those interested in supporting the arts;
~To permit the Annual Meeting to be in September or October with at least 30 days notice to Members, and to provide for notices to be sent to Members by e-mail or regular mail;
~To provide one weeks notice for Special Meetings called by the President in situations where immediate action is necessary;

Article VI is being revised
~To provide for periodic (rather than just annual) adjustments to the dues:

ARTICLE VIII is being revised
~To allow for Constitution and By-Law changes by a 2/3 vote of the membership by proxy or in person vote, provided a copy of the proposed changes and notices are sent to Members by e-mail or regular mail 30 days prior.
